The President is the principal executive officer of ISONG and, in general, supervises and manages all of the strategic matters and business affairs of the organization. The President implements policy established by the Board of Directors, presides at meetings of the members and of the Board, approves all conveyances, notes, contracts, or other instruments authorized by the Board, and performs such other duties as may be assigned by the Board of Directors.
The President-Elect becomes familiar with the duties of the President and automatically succeeds to the presidency at the conclusion of the President’s term of office. The President-Elect performs the duties of the President in the absence or inability to act of the President and, when so acting, has all the powers of and is subject to all restrictions of the President. During years in which there is no Immediate Past President, the President-Elect chairs the Awards, Bylaws, and Nominations Committees.
The Immediate Past President serves as an advisor to the Board of Directors and chairs the Awards, Bylaws, and Nominations Committees. During years in which there is no President-Elect, the Immediate Past President performs the duties of the President in the absence or inability to act of the President, with all the powers and restrictions of that office.
The Secretary oversees, keeps, maintains, and assures distribution of the Board minutes to the Board of Directors and summaries of the minutes to ISONG members; gives all notices required to be given by the Bylaws; attests all documents duly authorized by the members according to the Bylaws; and in general performs all duties incident to the office of Secretary and such other duties as the Board of Directors may prescribe.
The Treasurer has oversight of all funds and securities of ISONG, including all authorized monies due and payable to ISONG from any source, and manages bookkeeping and banking, such as deposits in ISONG’s name with depositories decided by the Board of Directors. The Treasurer oversees accounting of all financial transactions, ensures taxes are submitted to the Internal Revenue Service annually, ensures required annual filings with the State of Maryland, and presents a financial report at the annual meeting. The annual budget, including the budget for Congress, is developed by the Treasurer, with the support of a bookkeeper or financial professional if engaged, and approved by the Board of Directors. ISONG financial accounts are audited by a licensed independent public accounting firm every other year and as needed; when ISONG does not meet the asset criteria that would allow such an audit, the Treasurer convenes the Treasurer’s Advisory Committee to perform an internal audit of all bank accounts, investments, and accounting every other year in accordance with the internal audit policy.
The two Members-at-Large provide a perspective of the general membership to the Board of Directors, serve in an advisory capacity, oversee special projects, and perform such duties as may be assigned by the Board of Directors, as well as participate in meetings of the Board of Directors.
The Student Representative provides the perspective of the student membership to the Board of Directors; takes particular responsibility for seeking opportunities to promote student engagement with ISONG; works with committees on initiatives; performs such other duties as may be assigned by the Board of Directors; and participates in meetings of the Board of Directors. The Student Representative is defined as any student member who is pursuing a nursing degree. There shall be one or two Student Representatives, based on interest and qualifications.
Officers and other Board members are elected by electronic or written vote of all members with voting privileges. The President-Elect is elected prior to the second year of the current President’s term, with transition to the President and Immediate Past President positions occurring automatically upon conclusion of the preceding terms. The Secretary is elected in odd years and the Treasurer in even years. Each year’s slate also includes one Member-at-Large and the Student Representative. Elections are completed at least 30 days before Congress each year.
The President-Elect serves a one-year term immediately prior to assuming the office of President; the President serves a two-year term, or until a successor has been installed; and the Immediate Past President serves a one-year term, for a four-year commitment in total. Due to the term structure, the President-Elect and Immediate Past President positions do not overlap in the same year. The Student Representative serves a one-year term and may run for a second elected term. Other officers and Board members each serve a two-year term, or until a successor has been installed. No person may hold more than one office simultaneously, and no person may serve more than two consecutive terms of office in the same position.
